Mr. Rinde, who concentrates his practice on securities regulation and compliance, addressed the legal challenges publicly traded Chinese companies face, including recent PRC and U.S. regulatory changes and current Sarbanes-Oxley Act requirements for non-accelerated filers. He also addressed the impact of the SEC's reinterpretation of Rule 415, recent amendments to Rule 144 and Form S-3, and the use of variable interest entities for Chinese transactions. The All-Cap All-China Conference, hosted by Brean Murray, Carret & Company, is the largest conference held for publicly traded Chinese companies that list in the United States. This year’s conference featured Senator Joseph Biden, Chairman of the United States Foreign Relations Committee, among its many distinguished speakers. Mr. Rinde represents numerous U.S. and foreign public corporations with a particular emphasis on Asia. He has extensive experience in public and private equity and debt security financings, international mergers and acquisitions, venture capital financing, and corporate law and governance. He also represents issuers and merchant and investment banking firms in public and private securities offerings, as well as representing buyers, sellers, and financial advisors in a variety of public and private business combinations. Mr. Rinde's clients are involved in a broad range of business areas, including agriculture, alternative fuel technology, automobile, biotechnology, direct marketing, entertainment, food and beverage, health care, high-technology and Internet services, media and new media, oil and gas, natural resource and mining, nutraceutical, pharmaceutical, precious metals, telecommunications, traditional manufacturing, wholesale and retail, computer, real estate, and consumer products.
