Chalian has joined Hodgson Russ as a partner, and Stephen A. Cohen has joined as an associate. Both are in the law firm’s Corporate & Securities Practice Group in the firm’s New York City office at 1540 Broadway. Mr. Chalian practices in the areas of investment management, with an emphasis on the formation of private equity and hedge funds; acquisitions and divestitures; venture capital and private placements; securities offerings; and general corporate matters. He is involved in a wide range of transactions aimed at strategic growth and raising capital. His experience includes representing sponsors and investors in the formation of private equity and hedge funds and their respective portfolio investments. Mr. Chalian counsels public and private companies in connection with their acquisitions and divestitures. He also works closely with issuers, investors, placement agents and underwriters in a wide variety of capital-raising activities, including venture capital financings, private placements, equity offerings, and senior and subordinated debt offerings. He also prepares and reviews SEC filings and is regularly involved in other general corporate matters. Mr. Cohen focuses his practice on corporate and securities matters, with particular emphasis on capital-raising transactions, mergers and acquisitions, and corporate governance. Mr. Cohen also counsels companies on all matters relating to the organization and operation of business entities as well as the offer, sale, and/or exchange of securities. This includes the preparation and filing of periodic reports, current reports, registration statements, and other filings required by the Securities Act of 1933 and/or the Securities Exchange Act of 1934. Mr. Cohen is a co-author of Regulation of Small Business Issuers: An Executive Handbook, published by Vintage Filings in 2007.
