S. Asher Gaffney, Ronniel Levy, and Eric C. Mendelson, attorneys in the Hodgson Russ LLP Corporate & Securities Practice Group, were the speakers at a recent seminar for corporate counsel held in Westport, Connecticut.
The program, titled “SEC Programs Part II: In-Depth Discussion of MD&A and Executive Compensation Disclosures,” was sponsored by the Westchester/Southern Connecticut Chapter of the Association of Corporate Counsel-America (WESFACCA), which covers businesses located in Westchester County, New York, and Fairfield and New Haven Counties in Connecticut.
The presentation by Mr. Gaffney, Mr. Levy, and Mr. Mendelson covered numerous topics critical for in-house lawyers as they help their companies navigate the Securities and Exchange Commission’s disclosure requirements in two important areas: management's discussion and analysis of financial conditions and results of operations (MD&A), including disclosures with respect to trend information, critical accounting estimates, and liquidity and capital resources disclosures in the current credit environment; and executive compensation, including compensation disclosure and analysis (CD&A) and compensation practices and the Troubled Asset Relief Program (TARP).
