The attorneys in Hodgson Russ’s Emerging Companies & Venture Capital Practice Group regularly advise start-up and high-growth companies at every stage of their evolution. We represent venture capital funds, strategic investors, and angel investors on the full range of their activities.

We help emerging companies identify appropriate financing sources and then provide assistance in initiating and supporting these relationships. Our attorneys regularly advise clients on financing strategies and complex transactions, including early stage financing rounds; mezzanine private placements; initial and follow-on public offerings; PIPEs deals; Rule 144A offerings; convertible debentures; and Regulation S placements.

Our multidisciplinary team advises emerging and growth companies on the full spectrum of their legal issues, including corporate formation, employee incentives, intellectual property protection, human resource matters, mergers and acquisitions, and restructuring. We frequently complement our clients' management teams, serving as their outside general counsel. When they reach the appropriate stage of development, we represent them in their initial public offerings and acquisitions by strategic or financial buyers.

We assist venture capital and other private-equity funds and strategic and angel investors with their entity formation, fundraising, and governance activities, and we regularly handle their bridge loans, venture capital financings, leveraged buy-outs, recapitalizations, and dispositions.
