Areas of Practice: Corporate, finance, mergers and acquisitions, and securities law
Professional Experience: Mr. Daniels represents start-up to mature public companies, private equity and venture capital funds, and investment banks involved in high-growth sectors, such as information technology and new media. He has represented companies, VCs, and strategic investors in over $1 billion of private equity and debt financings. He has advised company management and top investment banks handling over $5 billion of merger, acquisition, and disposition transactions and raising over $3 billion in initial and follow-on public offerings of equity and debt. He also regularly represents private equity firms in leveraged buy-outs and companies in obtaining secured lines of credit, equipment financing, and other loans. Mr. Daniels also provides general corporate advice for public and private companies. He has represented clients in a number of industries, including the asset protection, biotech, clean tech, digital media, health care, financial services, semiconductor, software, and telecommunications industries.

Presentations and Publications: Mr. Daniels regularly hosts the "Entrepreneurs Roundtable" series for entrepreneurs and venture capital investors, holds monthly office hours at the NYU-Poly Varick Street Incubator, and is a frequent speaker on a wide range of topics critical for emerging companies. His recent presentations include "Key SEC Disclosure Issues and Concerns in the Comment Process of the Mistras, Medidata, and Rosetta Stone IPOs," June 15, 2009, and "Ultra Light Start-Ups Legal Roundtable Discussion" as part of NYC Entrepreneur Week, April 21, 2009.
Mr. Daniels is the author of "Comparing U.S. and Hong Kong Public Offering Regulation," 69 S. Cal. L. Rev. 1821. At the University of Southern California Law School, he was managing articles editor of the Southern California Interdisciplinary Law Journal and a member of the Southern California Law Review.
