Transaction Counsel in Connection with At-the-Market Common Stock Offering Program

Hodgson Russ acted as transaction counsel for Astronics Corporation (Nasdaq: ATRO) in connection with its $30.0 million at-the-market common stock offering program, using its previously filed shelf registration statement on Form S-3. We assisted Astronics with all aspects of the transaction, including preparation of the prospectus supplement, negotiation of the equity distribution agreement with the sales agents, assistance with the due diligence process and preparation of the required ancillary closing deliverables and legal opinions to initiate the at-the-market equity offering program. This transaction represented Astronics’ first time using an at-the-market equity offering program.
