Rosellen D. Marohn

Rosellen “Ros” Marohn is a senior associate in Hodgson Russ’ Corporate & Business Practice. She counsels clients on mergers and acquisitions, corporate transactions, and technology matters, including legal considerations surrounding the adoption and use of emerging technologies.

Ros represents buyers and sellers in mergers and acquisitions across multiple industries. She regularly works on complex transactions, including public company and strategic deals, guiding clients through structuring, diligence, negotiation, and closing. Across her practice, she is relied on for her ability to distill complex transactional and technology issues into clear, practical guidance that supports efficient decision-making.

A significant part of Ros’ practice involves drafting and negotiating technology, software, and licensing agreements. She advises both developers and users of technology and frequently represents private companies in negotiations with major technology providers. Her approach is grounded in practical business considerations, with close attention to balancing risk, operational needs, and long-term flexibility as technologies and relationships evolve.
