John concentrates his practice in U.S. securities regulation and compliance, mergers and acquisitions, and corporate law and governance. He is active in the firm's U.S.-Canada Practice and regularly counsels Canadians on U.S. securities, investment management, and corporate law matters. He has extensive experience in public and private securities offerings, venture capital and private equity transactions and executive compensation arrangements. He also has extensive experience in shareholder disputes and related litigation, including appraisal and NYBCL 1104 and 1104-a dissolution proceedings.

John is a co-author of the Practical Law Company module on New York business corporation law.

John exclusively practices U.S. law and is admitted to practice in New York.

  • Acquisition of Lake Region Medical from affiliates of KKR/Bain.
  • Disposition of the Orthopedics & Advanced Surgical business to Viant Group.
  • Tax-free spin-off of Nuvectra Corporation (Nasdaq : NVTR), a neuro modulation device developer, to shareholders.
  • Acquisition of US Bio Design LLC.
  • Acquisition of Israel-based Inomec Ltd.

For client Summer Street Capital Partners, a private equity sponsor:

  • Acquisition and subsequent sale of portfolio company, Multisorb Technologies Inc., a world leader in active packaging solutions for the pharma, food and electronics markets.
  • Acquisition of portfolio company Ira Green Holdings, Inc., the leading manufacturer and distributor of U.S. military decorations, insignia and uniform accessories.
  • Acquisition and subsequent sale of portfolio company Willcare, a NY-based home care provider.

For client Rand Capital Corporation (Nasdaq : RAND), an SEC-registered business development company (BDC):

  • Stock sale and externalization of investment management to affiliates of East Asset Management.
